Aegis

Terms of Service

The agreement between your business and Aegis when you sign up for and use the Aegis platform. Effective October 17, 2026.

The short version
  • Aegis is software for running a courier or freight forwarding business. You are the courier; we provide the tools, not the shipping.
  • You pay for your plan in advance each month or year by invoice. If an invoice isn't paid, your system may be paused until it is.
  • Your data stays yours. Each courier has its own database and encryption key, and you can ask for a copy at any time.
  • You're responsible for how you use Aegis with your customers, including the messages you send them and the information you collect.

1. The agreement

These Terms of Service ("Terms") are an agreement between Aegis ("Aegis", "we", "us" or "our") and the business that signs up for Aegis ("you" or "your"). By ticking the box to agree at sign-up, paying for a plan or using the service, you accept these Terms and our Privacy Policy. The person who accepts them confirms they are at least 18 and authorised to bind the business.

Aegis is for businesses. It isn't intended for personal or household use.

2. The service

Aegis is an online platform for couriers and freight forwarders. Depending on your plan, it includes a staff site, a customer portal, warehouse sync, shipments and labels, invoicing, email, SMS and WhatsApp messages, a rewards programme and a website builder ("the Service"). Your plan sets your limits, such as the number of staff, branches and packages, and which features are included. The features of each plan are shown on our website and in your account.

We don't transport, store, insure or clear any goods. You remain fully responsible for your courier business, including your services, prices, customs declarations, duties and taxes, and your dealings with your customers and warehouses. Amounts the Service calculates (such as freight quotes, estimated customs and invoice totals) are based on the rates and settings you enter, and you must check them.

3. Your account

4. Plans, fees and payment

5. Late payment and suspension

Invoices are due on the date shown on them. If an invoice is still unpaid after the grace period shown in our reminders (7 days unless we tell you otherwise), we may suspend your system: your staff and customers won't be able to sign in until it's paid. Suspension doesn't delete anything, and your system is restored once the invoice is paid.

We may also suspend the Service straight away if we reasonably believe it is needed to stop a security threat, serious harm or illegal activity, or a serious breach of section 8. Where we can, we'll tell you first and give you a chance to fix the problem.

6. Data migration

At sign-up you can ask us to move your existing data from another courier platform, for a one-time fee shown at checkout (currently US$100), which is added to your first invoice.

7. Cancelling and ending the agreement

8. Acceptable use

You must not use the Service, or let anyone else use it, to:

9. Your customers

Your customers deal with you, not with us. You're responsible for your own terms of service, prices and policies with them; for publishing a privacy policy that tells them how you use their information; for getting any consent you need from them (for example for marketing messages); for your rewards and referral programme rules; and for handling their questions and complaints. You must not tell your customers that Aegis is responsible for their shipments.

10. Your data

11. Third-party services

The Service works with services run by other companies, such as warehouse platforms, payment providers (including WiPay), and email, SMS and WhatsApp providers. Your use of those services is governed by their own terms, and you're responsible for the accounts, API keys and fees for the ones you connect. We aren't responsible for their availability, accuracy or what they do with information you send them. If a third-party service changes or stops working with Aegis, we'll try to tell you but can't guarantee the integration will continue.

12. Web addresses and domains

13. Intellectual property

The Service, including its software, designs, templates and documentation, and the Aegis name and logo, belong to us and our licensors and are protected by law. During your subscription, we give you a limited, non-exclusive, non-transferable right to use the Service for your own business under these Terms. You keep all rights in your logo, branding and content, and give us permission to use them in your system and on the communications it sends for you. If you send us feedback or suggestions, we may use them freely without paying you.

14. Availability and support

We work to keep the Service available and secure, but it may sometimes be unavailable because of maintenance, updates, problems with our hosting or other providers, or events outside our control. We'll try to do planned maintenance at quiet times. We may improve, change or remove features; if we remove a major feature you pay for, we'll give you reasonable notice. Support is by email at info@aegisexperience.com during normal business hours.

15. Disclaimers

Except as these Terms expressly say, the Service is provided "as is" and "as available". To the fullest extent the law allows, we make no other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, and we don't promise that the Service will be uninterrupted, error-free or meet every requirement you have, or that calculations, quotes, tracking information or data from third-party services will be accurate.

16. Limitation of liability

To the fullest extent the law allows: (a) neither party is liable to the other for any indirect, incidental, special, consequential or punitive loss, or for loss of profits, revenue, business, goodwill or data, however caused, even if told it was possible; and (b) each party's total liability arising out of or in connection with these Terms is limited to the fees you paid us in the 12 months before the event giving rise to the claim.

These limits don't apply to your obligation to pay fees, to either party's liability under section 17, or to any liability that can't be limited by law, such as for fraud.

17. Indemnity

You will defend and compensate us for any claims, losses, fines and reasonable legal costs arising from Your Data, your courier business, your dealings with your customers, warehouses and other providers, or your breach of section 8 or of applicable law. We will defend and compensate you for any claim that the Service, as we provide it, infringes someone else's intellectual property rights. The party asking for this protection must tell the other promptly, let them control the defence, and give reasonable help.

18. Changes to these Terms

We may update these Terms from time to time. We'll post the new version here with a new effective date and, for changes that materially affect you, tell you by email or in your account at least 30 days before they take effect. If you keep using the Service after that, the new Terms apply. If you don't agree, you can cancel before they take effect.

19. Governing law and disputes

These Terms are governed by the laws of Jamaica. If a dispute arises, we'll first try to resolve it in good faith by talking it through: email us with the details and we'll respond within 14 days. If it isn't resolved within 30 days, either party may take it to the courts of Jamaica, which will have exclusive jurisdiction. Either party may still ask any court for urgent relief to protect its intellectual property or confidential information.
